These Terms & Conditions govern your use of the Wanniu Electric Appliance website fswanniu.com and all purchases made from Wanniu Electric Appliance (“we,” “us,” “our”). By accessing our site and placing an order, you (“the Buyer,” “you,” “your”) confirm that you are a business entity (e.g., distributor, wholesaler, retailer) and agree to be bound by these terms.

1. Definitions

  • “Buyer” / “You”: The company or entity placing an order.

  • “Goods” / “Products”: The electric knife sharpeners and related items offered for sale.

  • “Order”: A formal request for Goods submitted by the Buyer.

  • “Contract”: The agreement between us and you, consisting of your Order and our Order Confirmation.

  • “Writing” / “Written”: Includes emails and formal letters.

2. Basis of Sale

  • Quotations: Any quotation we provide is an invitation to treat, not an offer. It is valid for 30 days from the date of issue, unless otherwise stated.

  • Order Process: Your Order constitutes an offer to purchase. A legally binding Contract is formed only when we issue a Written Order Confirmation.

  • Specifications: You are responsible for ensuring the accuracy of the Order, including product specifications, quantities, and shipping details. We are not liable for errors in your Order.

3. Products, Customization & Samples

  • OEM/ODM: We offer OEM (Original Equipment Manufacturing) and ODM (Original Design Manufacturing) services. All customizations (logo, packaging, design) must be agreed upon in Writing before Order confirmation.

  • Tooling & Setup Fees: Custom projects may incur one-time tooling or setup fees, which are non-refundable.

  • Samples: Sample orders are available for evaluation. Sample fees and shipping costs are borne by the Buyer and may be credited against a future bulk order, at our discretion.

4. Price and Payment

  • Pricing: Prices are stated in US Dollars (USD) unless otherwise agreed. Prices are exclusive of all taxes, duties, customs, and shipping costs, which are the Buyer’s responsibility.

  • Validity: Prices are based on the cost of materials and labor at the time of quotation. We reserve the right to adjust prices prior to your Order Confirmation.

  • Payment Terms:

    • New Clients: 30% deposit with Order, 70% balance before shipment.

    • Established Clients: Other terms may be offered at our discretion based on credit history and order volume.

  • Late Payment: Overdue invoices will accrue interest at 1.5% per month. We reserve the right to suspend production or shipment of any pending orders until payment is received in full.

5. Shipping and Delivery

  • Incoterms: Our standard shipping term is FOB GuangZhou/Shenzhen unless otherwise agreed in Writing. Risk and title to the Goods pass to the Buyer once the Goods are loaded onto the vessel at the port of shipment.

  • Delivery Times: Any stated delivery or production lead times are estimates only. We are not liable for any delays caused by factors beyond our reasonable control, including but not limited to, force majeure events, customs delays, port congestion, or material shortages.

  • Import Compliance: The Buyer is solely responsible for complying with all import laws, regulations, and documentation requirements of the destination country.

6. Inspection, Returns, and Warranty

  • Inspection: The Buyer must inspect the Goods upon receipt. Any claims for visible damage, incorrect quantity, or non-conformity must be notified to us in Writing within 7 days of receipt.

  • Warranty Claim: If a defect is found, our sole obligation is, at our discretion, to either: (1) repair the defective Goods, (2) replace the defective Goods, or (3) refund the purchase price of the defective Goods.

  • Warranty Exclusions: This warranty does not cover damage resulting from accident, misuse, abuse, neglect, unauthorized modification, or improper handling by the Buyer or end-user.

7. Intellectual Property

  • All intellectual property rights (including designs, patents, and trademarks) related to our products and branding remain our exclusive property.

  • For OEM/ODM projects, the Buyer grants us a license to use their provided logos and designs solely for the purpose of fulfilling the Order.

8. Limitation of Liability

  • Our total liability to you, for any claim arising out of or relating to the Contract, shall not exceed the total price of the Goods paid by you under that specific Order.

  • We shall not be liable for any indirect, special, incidental, or consequential damages, including loss of profits or business opportunities.

9. Force Majeure

Neither party shall be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, government regulations, strikes, or shortages of materials.

10. Governing Law and Dispute Resolution

  • Governing Law: These Terms & Conditions shall be governed by and construed in accordance with the laws of [e.g., the People’s Republic of China].

  • Dispute Resolution: Any dispute arising from these terms shall first be settled through friendly negotiation. If negotiation fails, the dispute shall be submitted to the [e.g., China International Economic and Trade Arbitration Commission (CIETAC)] for arbitration in accordance with its rules. The arbitral award is final and binding on both parties.

11. General

  • Severability: If any provision of these terms is found to be invalid, the remaining provisions will remain in full force and effect.

  • Assignment: You may not assign your rights or obligations without our prior Written consent.

  • Entire Agreement: These Terms & Conditions, together with the Order Confirmation, constitute the entire agreement between us.
